Please examine this document carefully before any "Wholesale Drop Shipper" engages in the Wholesale Distribution and sale of Coog's Finest products.

The "Wholesale Drop Shipper" is subjected to being in compliance with the Terms and Conditions, and must agree to be legally bound by the Terms and Conditions set forth below.
You may not redistribute or engage in the sale of Coog's Finest products should you not want to be bound by (“this Agreement”, the “Terms and Conditions”).
THIS AGREEMENT by and between Coog's Finest, and "Wholesale Drop Shipper" Company referred to as "Wholesale Drop Shipper".
WHERAS, "Wholesale Drop Shipper" is engaged in, and desires to promote, market, redistribute, the sale of Coog's Finest products in accordance with the terms and conditions of this Agreement.
NOW, THEREFORE, it is agreed as follows:
1. Coog's Finest hereby appoints "Wholesale Drop Shipper" is an authorized non-exclusive Independent Representative to promote, market, redistribute, and sale of Coog's Finest products in the entire Continental United States, Alaska, and Hawaii hereinafter referred to as "Territory".
2. This Wholesale Terms and Conditions Agreement is considered at will, meaning both parties have the right to terminate their involvement, relationship, and services for any reason, with or without notice, without liability to either party, and shall be considered null and void upon such a termination.
3. If for any reason that either Party decides to terminate its business relationship, it should be done so in writing by email, regular mail, or both to ensure that both parties have been properly notified of such termination.
4. If for any reason that Coog's Finest cannot fullfill its obligations to deliver any products as ordered to a guaranteed customer defined as purchased by "Drop Ship Wholesale Distributor" Coog’s Finest will make a complete and total refund to "Drop Ship Wholesale Distributor" immediately upon the Business Transaction, and Notify the "Dropship Wholesaler" with the reasons.
5. If a customer orders from you the "Drop Ship Wholesale Distributor" in excess of $50 dollars; Coog's Finest would like the "Drop Ship Wholesale Distributor" to call the customer to verify that such an order was placed in good faith, and to verify the legitimacy of such a transaction.
6. The "Drop Ship Wholesale Distributor" is responsible for verifying the legitimacy of all orders for Coog's Finest products placed on there website. Warning: any order not warranted as a legal sale or transfer to "said" customer, meaning "(i.e. fraudulent scheme or scam will be and shall be charged back to the "Drop Ship Wholesale Distributor".
7. The "Drop Ship Wholesale Distributor" is responsible for placing the correct order to Coog's Finest for distribution (i.e. 6-12oz bags Chicken Seasoning means exactly 6-12oz bags Chicken Seasoning) nothing more, nothing less; any error in ordering will be the responsibility of the "Drop Ship Wholesale Distributor" to make up the difference in cost. Coog's Finest will only ship what the "Drop Ship Wholesale Distributor" has ordered.
8. The "Drop Ship Wholesale Distributor" is responsible for having entered the correct ship to address when ordering from Coog's Finest. Incorrect shipping addresses will be the responsibility of the "Drop Ship Wholesale Distributor" and any extra shipping expense accrued will be charged to the "Drop Ship Wholesale Distributor".
9. All Sales are Final, unless there is probable cause deemed necessary, that there are mitigating circumstances not warranted to the legitimacy of such a transaction.
If Coog's Finest makes an error with your order, please notify us right away.
Coog’s will remedy the mistake with the correct product.
10. Coog's Finest will supply a receipt and confirmation number for all of the orders placed by the "Drop Ship Wholesale Distributor".
11. The "Drop Ship Wholesale Distributor" is not authorized to extend any warranty or guarantee, or to make representations or claims with respect to Coog's Finest products and services without express written authorization from Coog's Finest.
12. You may print and download portions of the Coog's Finest Website which have been made Public to include product images, wholesale prices, Recipes, Directions, and or Instructions for use on your website to promote the sale of Coog's Finest products.
13. You agree not to change any proprietary material or logos belonging to Coog’s Finest. Such a transaction is strictly prohibited without the express written permission of Coog’s Finest.
14. If Coog's Finest goes out of business for any reason; Coog's Finest will notify by email, regular mail, or both, to all "Drop Ship Wholesale Distributors" that are involved with the sale, and distribution of Coog's Finest products.
